Terms and Conditions for OFulFill Fulfillment Center Services

1. Introduction

Welcome to OFulFill Fulfillment Center Services ("Company," "we," "us," or "our"). These Terms and Conditions ("Agreement") govern your use of our fulfillment services, including warehousing, order processing, shipping, and returns handling. By using our services, you agree to these terms.

If you do not agree with these terms, please do not use our services.

2. Definitions
  • "Client" or "You" refers to the individual or business using our fulfillment services.

  • "Services" refers to storage, order processing, packaging, shipping, inventory management, and related logistics provided by the Company.

  •  "Inventory" refers to goods stored at our fulfillment center.

  • "Carrier" refers to third-party shipping providers.

 
3. Account Registration & Requirements
3.1 Eligibility

To use our services, you must:

  • Be at least 18 years old.

  • Provide valid business registration (if applicable).

  • Agree to comply with these terms.

 
3.2 Account Information

You are responsible for providing accurate business details, including:

  • Contact information.

  • Billing details.

  • Product descriptions, SKUs, and weight/dimensions.

Misrepresentation may result in service termination.

 

4. Inventory Management
4.1 Product Acceptance
  • Only approved products can be stored in our fulfillment center.

  • We do not accept hazardous materials, perishable items, illegal goods, or restricted items.

 

4.2 Storage Fees
  • Storage fees are calculated based on product volume, weight, and duration.

  • Unclaimed inventory beyond 90 days may be subject to disposal or return at the Client’s expense.

 

5. Order Fulfillment & Shipping
5.1 Processing Times
  • Orders are processed within 1-2 business days.

  • Orders placed before 11:00 AM PST (USA) will be processed on the same day.

 

5.2 Shipping Methods & Carriers
  • We work with third-party carriers, including USPS, UPS, FedEx, and DHL.

  • Shipping rates depend on product weight, dimensions, and destination.

  • We do not guarantee delivery times as they depend on carrier performance.

 

5.3 Tracking & Delivery

Tracking information is provided upon shipment.

We are not responsible for carrier-related delays, damages, or lost shipments.

 

6. Returns & Refunds
6.1 Return Policy
  • Returns are accepted within 30 days of delivery.

  • Products must be in their original condition for restocking.

  • Return shipping costs are the Client’s responsibility unless due to our error.

 

6.2 Refund Policy
  • Refunds are issued only after return inspection.

  • Processing time for refunds is 5-7 business days.

 

7. Payments & Fees
7.1 Billing Structure
  • Fees are billed every 15 days.

  • Payment must be made within 2 business days of the invoice date.

 

7.2 Late Payments
  • Late payments may incur penalties or service suspension.

  • We reserve the right to withhold inventory until outstanding balances are settled.

 
7.3 Chargebacks & Disputes
  • If a chargeback is filed without valid reason, we may terminate services.

 

8. Liability & Limitations
8.1 Loss & Damage
  • We are not liable for damages beyond our control, including theft, natural disasters, or carrier mishandling.

  • Clients may purchase additional insurance for high-value items.

 

8.2 Indemnification
  • You agree to indemnify and hold us harmless from claims, damages, and losses arising from your use of our services.

 

9. Service Termination

We may terminate services under the following conditions:

  • Non-payment of invoices.

  • Violation of these Terms and Conditions.

  • Shipment of prohibited or fraudulent goods.

Clients may terminate services with 30 days' written notice.

 

10. Confidentiality & Data Protection
  • We protect your business and customer data in accordance with applicable privacy laws.

  • We do not sell or share Client information with third parties without consent.

 

11. Force Majeure

We are not responsible for delays or failures caused by events beyond our control, including but not limited to natural disasters, strikes, and government regulations.

 

12. Governing Law & Dispute Resolution
  • These terms are governed by the laws of California, USA.

  • Any disputes shall be resolved through arbitration in California, USA.

 

13. Amendments & Updates
  • We reserve the right to modify these Terms and Conditions at any time.

  • Updates will be communicated via email or posted on our website.
